1. Who these terms cover
Creators (sellers who publish on a Stage or go live) and audiences (anyone who watches, chats, plays, tips, buys a ticket or joins a membership). Creators must be 18+ and accept these terms the first time they open Stage Studio; that acceptance is recorded with the version, time and device.
2. Your Stage and Hosting kinds
Every seller gets a public Stage page with one Hosting kind free (choose from Games, Sports, Theatre & Performance, Events, Gallery, Showroom, Workshop, Jokes & Riddles — each with its many formats) and a first live show free. Extra Hosting kinds cost $20/month each on top of the Seller Plan. Earning on a Stage (tips, tickets, memberships) requires an active Seller Plan, verified identity and a connected payout account.
3. Content licence (please read)
You own your content. Copyright in your videos, music, artwork, live streams, replays, games, text and images stays with you. In return for hosting and promoting it, you grant VISMARKS NIGERIA LIMITED and its affiliates the licence below, which you confirm by ticking the acceptance box.
- Scope: a worldwide, non-exclusive, royalty-free, fully paid, sublicensable (to our service providers, partners and advertising networks) and transferable licence to host, store, cache, reproduce, transcode, resize, caption, translate, clip, excerpt, adapt, publicly perform, display, stream, distribute and otherwise use your content, your Stage name, logo and likeness.
- Where: on the Platform, in feeds, search, recommendations, email digests and push notifications; in Official VISMARKS Stage highlights and compilations; in WhatsApp packs; on our social channels (for example TikTok, Instagram, Facebook, X, YouTube, Telegram); in paid advertising; and in press and investor material about the Platform.
- Duration: for as long as your content is on the Platform, and ending within 30 days after you delete it — except that the licence is perpetual and irrevocable for: (a) clips, highlights, trailers, compilations, ads and other promotional material we created while the licence was in force; (b) content that other users shared, embedded, remixed or reacted to under Platform features before deletion; (c) copies in routine backups and copies kept for legal, safety, dispute or audit reasons; and (d) your name, Stage name, logo and likeness as they appear in any of the above.
- Non-exclusive: you may publish the same content anywhere else at any time. We never claim exclusivity and we do not sell your content as standalone works.
- Moral rights: to the extent the law allows, you waive (or agree not to assert) moral rights against the uses above, including editing into clips and adding captions, music or branding. We will credit your Stage where practical.
- Your promises: you own or have every licence needed for the content and everything in it (music, footage, images, fonts, brands, people), the content is lawful and follows the Community Guidelines, and nothing in it infringes anyone's rights or privacy.
- Audience uploads (comments, chat, reactions, game entries, photos) are licensed to us and to the creator on the same terms, perpetually and irrevocably, because they cannot be separated from the show.
4. Music, clips and other people's work
Use only music, footage and images you have the right to use: your own, licence-free, or the beds we provide in Stage Studio. Commercial songs, film clips, sports broadcasts and other copyrighted work are not permitted without a licence. Rights holders can report misuse under the IP Policy; we may mute, remove or geo-block content and apply strikes. Three strikes may close a Stage.
5. People who appear in your content
Get consent from anyone recognisable in your videos or live shows, and parental consent for minors. Do not film people in private settings without permission. You are responsible for releases, privacy and publicity rights.
6. Live shows
- Live streams are transmitted in real time with limited pre-moderation. You are responsible for everything shown or said on your stream, including by guests you bring on camera.
- Keep products, claims and prices truthful. Live-sold products follow the Seller Agreement and Refund Policy.
- No nudity, sexual content, violence, hate, dangerous acts, gambling, alcohol/tobacco promotion to minors, or anything in the Community Guidelines' prohibited list. We may cut a stream at any time.
- Stream quality (resolution, latency) depends on your device and connection. We do not guarantee uninterrupted streaming.
7. Recording, replays and public/private
Live shows may be recorded. When a show ends you choose whether the replay is public (visible on your Stage and eligible for feeds, highlights and promotion) or private (visible only to you, and to ticket-holders or members where you allow). We convert recordings for playback on all devices. Private replays are still covered by the licence for hosting, backups, safety and legal purposes, but we do not promote them. Ticket-holders may be given access to replays for the period stated on the event.
8. Tips
Tips are voluntary gifts from an audience member to a creator and are not payment for goods or services. Tips are final after 24 hours; within 24 hours of payment you may request a reversal from your orders page provided the creator has not already withdrawn the funds. Creators may not solicit tips in exchange for prohibited content or promise outcomes for tips. Tips are reported to creators as income for tax purposes.
9. Tickets and events
- Creators set the ticket price, date, time, capacity and any replay access. The listing must accurately describe the event.
- Buyers may cancel a ticket within 24 hours of purchase, provided the event has not yet started. After that, tickets are non-refundable unless the event is cancelled, materially changed (date, headline act, length) or does not take place — in which case a full refund is issued automatically.
- If a creator cancels or no-shows repeatedly, we may remove ticketing privileges and withhold payouts to cover refunds.
- Tickets are personal and cannot be resold through the Platform. One ticket admits one account.
10. Memberships
- A membership is a recurring payment (monthly or yearly) for the perks the creator describes — such as members-only replays, early access, badges or chat privileges.
- Members may cancel anytime; access continues to the end of the current period. Within 24 hours of the first payment a full refund can be requested; otherwise the current period is not refunded.
- Creators must deliver the perks described. If a Stage closes or perks are withdrawn, remaining days of paid memberships are refunded pro rata by the creator (or from their balance).
- Membership prices may change for future periods with at least 30 days' notice to members.
11. Games, challenges, jokes and riddles
Games on VISMARKS are for entertainment and engagement. Do not run lotteries, raffles, betting or any game requiring payment to enter with a prize of money or money's worth, unless you hold the required licence and we have approved it in writing. Prizes you offer must be real, lawful and delivered within 14 days; VISMARKS is not responsible for creator-offered prizes. Keep jokes and riddles within the Community Guidelines — no hate, harassment or adult content. Scores, leaderboards and rewards may be reset or removed to counter manipulation.
12. Audience rules
Be respectful in chat and comments. No spam, harassment, hate, sexual content, doxxing, impersonation, scams, or sharing of off-platform payment details. Creators and their moderators can time-out or block you from their Stage; VISMARKS can suspend chat or accounts. Anything you post may appear in replays and highlights under the licence above.
13. Fees and payouts
A platform fee of 0.5% applies to tips, tickets and memberships, plus payment-processor charges, as shown at checkout. Earnings join your seller balance and follow the payout, hold and offset rules in the Seller Agreement. Refunds under these terms are charged to the creator's balance. Earnings are income — you are responsible for taxes.
14. Official VISMARKS Stage
VISMARKS runs its own Official Stage of sayings, flyers, videos, music and games, partly generated with AI and stock media, in several languages. Official content is for information and entertainment; it may feature seller products and Stages under the content licence. Official games carry no cash prizes unless stated.
15. Moderation and takedowns
We use automated systems and human review. We may remove, mute, age-restrict, demonetise or limit the reach of any content, end a live show, or suspend a Stage for breach of these terms, the Community Guidelines, the IP Policy or the law. Repeat or serious breaches lead to closure. Appeals: safety@vismarks.com.
16. Closing your Stage
You may delete content or close your Stage at any time. Active memberships are wound down as described above; ticket-holders for future events are refunded. The licence ends for deleted content within 30 days except for the perpetual items in section 3.
