Seller Agreement.

Effective 21 October 2026 · Operated by VISMARKS NIGERIA LIMITED, a company in formation in the Federal Republic of Nigeria (name reserved with the Corporate Affairs Commission, approval code 178096328517, 9 September 2026; incorporation pending), represented pending incorporation by its founder Ayanfe Mary-Grace Adesipe, with a planned affiliate in the United Arab Emirates.

This agreement applies to everyone who lists a product, runs a shop or receives money on VISMARKS. It adds to the Terms of Service. Where they conflict on a selling topic, this agreement wins.

1. Scope

You sell in your own name. VISMARKS provides the venue, visibility, checkout, enquiry tools, Stage features and payout plumbing. You are the merchant of record for your products: you set prices, describe items, ship, handle returns and honour warranties and consumer law.

2. Plans and what they unlock

  • Free — sign-up is free. Your first 5 listings are display-only: they appear in the feed, search and your Stage with an "Enquire" button, not a Buy button. You can answer enquiries, open one Hosting kind on your Stage, and run your first live show free.
  • Seller Plan — $100/month or $1,000/year. Unlocks unlimited listings, the Buy button, checkout, Buyer Protection coverage, payouts and Stage earnings (tips, tickets, memberships) once identity verification and a payout account are complete.
  • Extra Hosting kinds — each additional Stage Hosting kind (Games, Sports, Theatre, Events, Gallery, Showroom, Workshop, Jokes & Riddles) is $20/month on top of the Seller Plan after your free entitlement.
  • Founding offer — promotional terms shown at sign-up (such as unlimited listings for the first 30 days for early sellers) apply only as described there and may end at any time for new sign-ups.
Selling, collecting payment and receiving payouts require all three: an active Seller Plan, verified identity, and a connected payout account. Until then listings remain display-only.

3. Fees

  • Sales fee: 0.5% of the item price, per item sold, deducted from your settlement. Shipping and taxes collected from the buyer are not charged the fee. Fees are calculated per order and rounded to the nearest cent, so very low-priced items may attract a fee of zero.
  • Stage fee: 0.5% on tips, tickets and memberships, plus the payment processor's charges, as displayed at checkout.
  • Payment processor charges (Paystack, Flutterwave or others) and currency conversion are passed through at cost or as shown at checkout.
  • Refunded orders: the sales fee is reversed when a full refund is issued through the Platform. Chargeback fees imposed by processors may be passed on when the chargeback results from your breach.
  • We may change fees with 30 days' notice. Subscriptions are billed in advance and are non-refundable except where required by law.

4. Identity verification (KYC)

Before you can sell or be paid, you must verify your identity and, for businesses, your business registration, and provide any information our payment partners or the law require (for example BVN/NIN, government ID, proof of address, tax numbers). You consent to us and our partners checking this information against third-party and sanctions databases. We may re-verify at any time and may refuse, pause or close selling privileges if verification fails or information proves false.

5. Listing standards

  • Only list items you own or are authorised to sell, that you have in stock or can source within the stated handling time.
  • Titles, photos, descriptions, prices and condition must be accurate and complete. Photos must be of the actual item or an identical new item; stock imagery must be lawfully licensed.
  • AI-written descriptions are suggestions — you must check them before publishing.
  • Prohibited and restricted items are set out in the Community Guidelines. Counterfeits, replicas and unauthorised branded goods are banned without exception.
  • Listings may be shared to Google Shopping, social networks and partner feeds; keep them compliant with those networks' policies.
  • We may edit categories, remove listings or ask for proof of authenticity, sourcing or safety certification at any time.

6. Orders, shipping and service levels

  • Accept or decline an order within 48 hours; ship within the handling time shown on the listing (default 3 business days) and add tracking where available.
  • You are responsible for packaging, carriers, customs paperwork, insurance and loss or damage in transit until delivery.
  • Reply to buyer enquiries and order messages within 2 business days — you can reply straight from your inbox or in your dashboard.
  • Keep stock counts accurate. Repeated cancellations for unavailable stock lower your seller score and may lead to restrictions.

7. Returns, refunds and disputes

You must honour the Buyer Protection & Refund Policy and any stronger rights the buyer has under local consumer law (for example 14-day withdrawal rights for EU consumers). If a buyer opens a dispute, respond with evidence within the time shown. Disputes unresolved after 7 days are automatically refunded to the buyer and charged to your settlement. VISMARKS may make a final venue decision on any dispute.

8. Payouts, holds and reserves

  • Earnings are paid to your connected payout account by our payment partners after the order is marked delivered and the protection window closes (typically 7 days), less fees, refunds and chargebacks.
  • We or our partners may hold, delay or reserve funds where there is elevated risk: new sellers, unusual volume, disputes, suspected fraud, regulatory requests or unverified information. We will tell you the reason where the law allows.
  • You authorise us to offset amounts you owe (refunds, chargebacks, fees, penalties) against your balance or future payouts, and to invoice you for any shortfall.
  • Payout currency and timing depend on the partner and your country. Currency conversion uses the rate shown at the time of conversion.
  • Negative balances must be settled within 14 days.

9. Taxes and invoices

You are responsible for VAT, sales tax, income tax, customs duties and any other tax on your sales and earnings, and for issuing invoices or receipts to buyers where required. Where the law makes VISMARKS a collecting or reporting agent, we will collect, withhold or report as required and may ask for your tax identification number. Keep your tax and business details current.

10. Buyer data

Buyer names, addresses, phone numbers, emails and messages are shared with you only to fulfil orders and reply to enquiries. You act as an independent data controller for that use and must: keep the data secure; delete it when no longer needed; not add buyers to marketing lists or contact them for other purposes without their clear consent; and comply with the Nigeria Data Protection Act / NDPR and the GDPR where applicable. Report any data breach involving buyer data to privacy@vismarks.com within 48 hours.

11. Promotion, feeds and advertising

You authorise VISMARKS to promote your listings and Stage anywhere we see fit: the feed, search, Official VISMARKS Stage highlights, email digests, WhatsApp packs, Google Shopping, social media and paid advertising — under the content licence in the Terms and Stage & Creator Terms. We may apply discounts you set, show price history, and badge your shop (for example "verified", "founding seller"). We never charge you for this promotion beyond the plan and fees above.

12. Off-platform dealing

Do not ask buyers to pay outside VISMARKS, share payment details in listings, enquiries or live chat, or use the Platform to generate leads for off-platform sales. Off-platform payments are not covered by Buyer Protection, expose buyers to fraud, and are grounds for immediate suspension.

13. Performance and enforcement

We track service metrics (acceptance time, dispatch time, tracking, dispute rate, cancellation rate, response time, ratings). Poor performance, policy breaches or legal risk may result in warnings, reduced visibility, listing removal, selling limits, payout holds, loss of badges or account closure. You may appeal to legal@vismarks.com; we aim to respond within 7 business days.

14. Cancelling or closing your shop

Cancel your Seller Plan anytime from Billing; it stays active until the end of the paid period and listings then return to display-only (the first 5) or go offline. You must still complete open orders, honour returns and keep your payout account connected until all balances settle. Closing your account deletes your listings; order records are retained as required by law and the Privacy Policy.

15. Liability and indemnity

You indemnify VISMARKS against claims arising from your products, listings, Stage, shipping, taxes, data handling or breach of this agreement. The disclaimers and liability limits in the Terms apply. VISMARKS does not guarantee sales, traffic, rankings or earnings.
